This Software License Agreement ("Agreement") is entered into between Mosaci Studio ("Licensor," "we," "us," or "our") and the individual accessing or using the Service ("Licensee," "you," or "your"). By accessing or using Mosaci Studio, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
This Agreement governs the license rights associated with the Mosaci Studio platform and should be read alongside our Terms of Service, Privacy Policy, and Refund Policy.
1. Overview
Key terms used in this Agreement:
- "Service" — the Mosaci Studio web platform available at mosacistudio.com
- "Platform IP" — all intellectual property owned by Mosaci Studio: software, algorithms, conversion logic, user interface, branding, and documentation
- "User Content" — images or files you load into the Service for processing (processed locally; never uploaded)
- "Generated Output" — mosaic grids, color-by-number pages, PDFs, and other files produced by the Service from your User Content and downloaded to your device
2. License Grant
Subject to your compliance with this Agreement and the Terms of Service, Mosaci Studio grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service through a supported web browser
- Load User Content for local processing by the Service
- Generate outputs using the tools and features available on the platform
- Download, store, print, and share Generated Outputs for personal use
This license is personal to you and may not be transferred or sublicensed to any third party without our prior written consent.
3. Platform Ownership
All rights, title, and interest in and to the Platform IP — including the software, algorithms, conversion engine, user interface, visual design system, branding, and any improvements or derivatives thereof — remain exclusively with Mosaci Studio. This includes any enhancements we develop in response to user feedback.
You acknowledge that you receive no ownership interest in the Service by virtue of this Agreement or your use of the platform, and that nothing in this Agreement constitutes a sale of any Platform IP.
4. Your Content
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to upload and process your User Content through the Service, and that doing so does not infringe any third-party intellectual property, privacy, or other legal rights.
By uploading User Content, you grant Mosaci Studio a limited, non-exclusive, royalty-free license to process, store, and handle your content solely to the extent necessary to operate the Service and deliver Generated Outputs to you. This license:
- Does not transfer ownership of your content to Mosaci Studio
- Does not permit Mosaci Studio to use your content for any purpose other than providing the Service to you
- Does not authorize Mosaci Studio to sell, share, publish, or otherwise distribute your content to third parties
- Terminates when you delete your content or close your account
5. Generated Outputs
What you may do
Generated Outputs produced from your own User Content are yours to use. You may:
- Download and store Generated Outputs on your own devices
- Print Generated Outputs for personal use
- Share Generated Outputs with others for non-commercial purposes
- Modify or adapt Generated Outputs for your own projects
What you may not do
- Offer, sell, or distribute the Mosaci Studio platform, its algorithms, or any substantially similar service to third parties
- Use Generated Outputs to build, train, or improve a competing image-to-mosaic conversion system
- Represent Generated Outputs as your own proprietary software tool or platform
6. Prohibited Uses
The following activities are prohibited under this Agreement. You must not:
- Reverse engineer or decompile — attempt to derive the source code, algorithms, or underlying logic of the Service through any means, including but not limited to disassembly, decompilation, or network traffic analysis
- Unauthorized scraping or crawling — use bots, crawlers, scrapers, or automated tools to extract data, content, or functionality from the Service without our written consent
- Automated abuse — submit automated or scripted requests that impose an unreasonable load on the Service or circumvent usage limits or rate controls
- Unauthorized security testing — conduct penetration testing, vulnerability scanning, or any security assessment of the Service without prior written authorization from Mosaci Studio
- Copyright infringement — upload images or content for which you do not hold the necessary rights, or use Generated Outputs in ways that infringe third-party intellectual property rights
- Circumvention of controls — attempt to bypass, disable, or interfere with any access controls, subscription restrictions, credit limits, or security mechanisms in the Service
- Illegal activities — use the Service for any purpose that violates applicable local, national, or international law or regulation
- Harmful content — upload or process content that is illegal, obscene, defamatory, threatening, or otherwise harmful or objectionable
7. Intellectual Property
All Platform IP is and shall remain the exclusive property of Mosaci Studio. This includes:
- The Service software, source code, and compiled binaries
- Proprietary image processing and mosaic conversion algorithms
- The user interface, visual design system, and layout
- The Mosaci Studio name, logo, wordmark, and all associated trademarks and trade dress
- Documentation, help content, and marketing materials
- Any improvements, enhancements, or new features developed during the term of this Agreement
No license or rights in any Platform IP are granted to you by implication, estoppel, or otherwise, beyond the express license set out in Section 2. Any feedback, suggestions, or ideas you submit to us regarding the Service may be used by Mosaci Studio without restriction or compensation.
8. Open-Source Components
The Service may incorporate open-source software components. Where such components are used, they are governed by their respective open-source licenses. Nothing in this Agreement limits any rights you may have under those open-source licenses with respect to the specific components they cover.
The inclusion of open-source components does not affect Mosaci Studio's ownership of the Platform IP as a whole, including any proprietary code, logic, and systems that are not open-source.
9. Termination
This Agreement and the license granted under it remain in effect until terminated.
Termination by you
You may terminate this Agreement at any time by closing your account and ceasing all use of the Service. Closing your account does not automatically entitle you to a refund; please refer to our Refund Policy.
Termination by Mosaci Studio
We may suspend or terminate your license and access to the Service immediately, with or without notice, if we determine that you have:
- Violated any provision of this Agreement or the Terms of Service
- Engaged in fraudulent, abusive, or unlawful activity
- Used the Service in a manner that creates risk or legal exposure for Mosaci Studio or other users
Effect of termination
Upon termination, all license rights granted under this Agreement cease immediately. You must stop using the Service and delete any copies of platform materials in your possession. Generated Outputs already downloaded to your device before termination remain yours to use.
Sections of this Agreement that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and governing law — will continue to apply.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Mosaci Studio expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:
- Implied warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted, timely, error-free, or secure
- Warranties regarding the accuracy, completeness, or suitability of any Generated Output for any particular purpose
- Warranties that the Service will meet any specific technical or aesthetic requirement
Some jurisdictions do not permit the exclusion of implied warranties, so the above may not apply to you in full.
11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Mosaci Studio, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service or Generated Outputs.
This includes, without limitation:
- Errors, quality issues, or defects in Generated Outputs used without prior review
- Loss of locally stored project data due to browser cache clearing or device changes
- Data loss resulting from user action or circumstances outside our control
In no event shall our total aggregate liability to you under this Agreement exceed the greater of (a) the total fees paid by you to Mosaci Studio in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow certain liability exclusions or limitations, so the above may not apply to you in full.
12. Governing Law
This Agreement is governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
13. Changes to This Agreement
Mosaci Studio reserves the right to modify this Agreement at any time. When we make material changes, we will:
- Post the updated Agreement on this page with a revised effective date
- Notify you by email if you have a registered account (for significant changes)
Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Agreement. If you do not agree to the updated terms, you must stop using the Service.
